Before signing a lease in Noida, verify the building's RERA registration, the promoter's track record, whether you're leasing or being licensed, how carpet and super areas are measured, fit-out timelines, escalation and lock-in terms, parking allocation, power backup capacity, and the project's actual completion status.

RERA Registration and Promoter Track Record

The Real Estate (Regulation and Development) Act, 2016 requires all commercial real estate projects in Noida to be registered with the Uttar Pradesh RERA authority. Before you view space, confirm the project's registration number on the RERA website. This registration proves the promoter has submitted detailed plans, timelines and financial details to a regulator, and gives you legal recourse if the project fails to deliver.

Check the promoter's history in Noida: have they completed projects on time, do they maintain buildings well, and have they faced disputes with tenants or regulators? Ask the leasing agent for references from existing tenants in their other completed buildings. A promoter's past performance is the strongest indicator of whether your lease will be honored and your space will be ready when promised.

Lease Versus License: Know Which One You're Signing

Noida commercial agreements are either leases or licenses, and the difference matters legally and financially. A lease gives you exclusive possession of the space for a fixed term; a license gives you a right to use the space but not exclusive possession, and it can be revoked more easily. Licenses are cheaper but offer less security. Leases are stronger but may carry higher lock-in periods.

Ask your lawyer to review the agreement and confirm which structure you're entering. If the document calls it a lease but contains language about revocation or non-exclusive use, that's a flag. The agreement's first page should clearly state the term (typically 3 to 9 years for office, 2 to 5 for retail) and your rights if the building is sold or the promoter defaults.

Carpet Area, Super Area and Common Area Charges

Your rent is calculated on carpet area (the actual floor space you occupy), but your common area maintenance (CAM) charges are typically calculated on super area (carpet area plus a share of lobbies, corridors, stairwells and other shared zones). Modern Noida commercial buildings allocate 15 to 25 percent of built area as super area per floor. Ask the leasing agent for the exact carpet and super area of your space and for all tenants combined on your floor, so you can calculate your share of CAM correctly.

CAM is quoted per square foot per month and varies widely with a building's age, location, amenities and how its services are run, so there is no single Noida rate to work from. Ask the landlord for the current figure in writing and for what it was in each of the last two years. These charges cover maintenance staff, utilities, security, and building repairs. Request a detailed CAM breakdown and ask whether water, electricity and air-conditioning are included or separate. Confirm whether CAM is fixed or escalates annually, and by how much.

Fit-Out, Possession and Lock-In Terms

A fit-out is the work required to make raw space usable for your business: flooring, partitions, electrical outlets, air-conditioning ducts. If the space is offered as bare shell, confirm in writing how long the developer will give you to fit out, and whether the rent clock starts on the day you receive possession or after fit-out is complete. Some developers charge you 50 percent rent during fit-out; negotiate this point carefully.

The lock-in period is the minimum time you must stay in the space and keep paying rent even if you want to exit. Lock-in periods in Noida range from 3 to 5 years for office space. Understand the lock-in clearly: does it prevent you from leaving, or does it allow exit with a penalty? Can you sublet, and does the landlord get a cut? Lock-in is a major financial commitment; factor it into your decision.

Escalation, Parking, Power and Completion Status: The Final Checks

Rent escalation clauses typically increase your rent by 5 to 10 percent every 2 or 3 years. Calculate the total rent you'll pay over the full lease term, not just the first year. Take any quoted rate and compound it forward: a rate rising 8 percent a year is roughly 47 percent higher by year 5 and over 80 percent higher by year 9, so run that arithmetic on the actual number in your draft before you sign. Ensure the escalation percentage is in the agreement, not left to the landlord's discretion.

Parking allocation must be explicit: how many spaces do you get, at what cost, and is it dedicated or shared? Power backup (generator capacity) is critical for IT offices and retail. Ask the building management for the total backup hours available and whether your space gets proportional backup, or if there is a waiting list when demand spikes.

Finally, visit the site and confirm the building's actual completion status. A project described as 'nearly complete' may still be 6 to 12 months away from possession. Request the latest building occupancy certificate or a letter from the developer stating when possession will be handed over. If the space is in a partially occupied building (like Max Towers in Sector 16B, which has been leasing office space for years), you can verify the building's operational quality by speaking to existing tenants. If the space is in a newer project like M3M The Line in Sector 72, confirm the exact possession timeline in writing and whether the lease agreement allows you to exit without penalty if possession is delayed beyond a specified date.
